10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEAT LEDGER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE.

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules.
You agree to the exclusive jurisdiction of the state courts in Contra Costa County, California, and the federal courts of the Northern District of California for any dispute arising out of or relating to the Site or these Terms.
Either party may bring an individual claim in small claims court in Contra Costa County.

14. International Use

We make no representation that the Site is appropriate or available outside the United States.
You are responsible for compliance with local laws where you access the Site.

15. Entire Agreement; Assignment; Severability; Waiver

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Neat Ledger regarding your use of the Site.
You may not assign these Terms without our written consent.
If any provision is found unenforceable, the remaining provisions remain in effect.
Our failure to enforce any provision is not a waiver of our rights.
